PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS PLATFORM AND THE SERVICES AVAILABLE THROUGH THIS PLATFORM. 

This document is an electronic record in terms of the Information Technology Act, 2000 and published in accordance with the provisions of Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, which require the publishing of rules and regulations, privacy policy, and Terms & Conditions for access or usage of Garmentory India marketplace platform - www.garmentory.co (hereinafter referred to as the “Platform”).

The Platform is owned by Garmentory Retail Private Limited (“Garmentory India,” “Garmentory.co”, “we,” “us,” or “our”), having its registered office at #56, 2nd Main Road, Koramangala 1st block, Bengaluru 560034.

Your use of the Platform, its services, and tools are governed by these terms and conditions (“Terms & Conditions”), including the applicable policies, which are incorporated herein by way of reference. By mere use of the Platform, you shall be contracting with Garmentory India, the owner of the Platform. These Terms & Conditions, along with the policies, constitute your binding obligations with Garmentory India.

For the purpose of these Terms & Conditions, wherever the context so requires, “you” or “user” shall mean any natural or legal person who has agreed to become a buyer on the Platform by providing data while registering as a registered user. 

When you use any of the services provided by us through the Platform, including but not limited to product reviews and seller reviews, you will be subject to the rules, guidelines, policies, terms, and conditions applicable to such service, which shall be deemed to be incorporated into these Terms & Conditions.

By using or downloading information from this Platform, you represent that you have read and understand these Terms & Conditions and agree to be bound by them. If you do not agree with these Terms & Conditions, in whole or in part, please do not continue to use this Platform since your continued use (including, but not limited to, placing an offer on a product) constitutes acceptance of these Terms & Conditions.

Garmentory India may modify these Terms & Conditions at any time, without notice, by updating this page. Please check this page periodically for changes since your continued use of this Platform following the posting of changes will indicate your acceptance of those changes.

1.Marketplace model & relationship

Garmentory.co acts as an online marketplace that allows independent designers and boutiques (collectively, “Sellers”) a platform to advertise, list and sell apparel, fashion accessories, handbags, shoes and related items to buyers (“Buyers”) like you. Garmentory India is not directly involved in the transaction between Buyers and Sellers and is not liable for any such transaction. Garmentory India has no control over the quality, safety, or legality of any aspect of the items listed, the truth or accuracy of the listings, the ability of Sellers to sell items or the ability of Buyers to pay for items. Garmentory India will, however, use its best efforts to work with you and a Seller to resolve any dispute you may have with respect to a product you purchased using this website.

Garmentory.co sources products from verified independent designers, boutiques, and brands worldwide and takes reasonable measures to authenticate products made available on the Platform and to ensure that they are supplied by trusted Sellers. In the unlikely event of any authenticity-related concern about the products listed on the Platform, Garmentory India will use its best efforts to coordinate with the relevant Seller to facilitate a resolution, which may include providing an appropriate refunds to the Buyer.

We do not warrant that the product description or other content on the Platform is accurate, complete, reliable, current, or error-free and assumes no liability in this regard.

2.Legal age eligibility & account

You must be at least 18 years of age and capable of entering into a contract to access or use this Platform. You are responsible for maintaining the confidentiality of your display name, password, and account details, and for all activities that occur under your account. If you provide any information that is untrue, inaccurate, not current, incomplete, or inconsistent with these Terms & Conditions, we reserve the right to suspend, terminate, or block your access to the Platform indefinitely. 

If we have reason to believe there is a breach of security or misuse of your account, we may require you to change your password or may suspend your account without liability, for such period as deemed appropriate. We are not liable for any loss or damage resulting from your failure to comply with this obligation.

Your registered mobile number will be treated as your primary identifier on the Platform. You are responsible for ensuring that your mobile number and email address provided to us are accurate, valid and kept up to date at all times. You agree to promptly update any changes to your contact details through the Platform, including completion of the required OTP verification process. Garmentory India shall not be liable for any loss, misuse, or consequences arising from your failure to maintain or update your registered contact information. 

If you share or allow others to access your account (including by creating profiles under your account), they may be able to view and use your account information. You shall be solely responsible for all activities undertaken through your account and for any consequences thereof.

 

3.Product information & availability

We strive to provide accurate and up-to-date information, including product descriptions, images, pricing, availability, and promotions, on the Platform. However, we do not warrant that such information is accurate, complete, reliable, current, or error-free. Product descriptions, colours, fit, fabric, or other details may vary slightly from the actual product, and product images are indicative in nature.

The Platform may contain typographical errors, inaccuracies, or omissions, which may also relate to pricing and availability. We reserve the right to correct, update, or modify such errors or inaccuracies at any time, including after an order has been placed, without prior notice. In such circumstances, we shall have the absolute right to cancel or correct any order affected by such errors, including but not limited to errors in pricing.

4. Pricing, taxes & duties

All prices displayed on the Platform are final and inclusive of all applicable GST, customs duties, shipping charges, and any other taxes or fees, unless stated otherwise. The amount shown at checkout is the total amount payable and there are no hidden charges. Prices are displayed in Indian Rupees (INR).

While we strive to provide accurate product and pricing information, errors may occur. We cannot confirm the final price of a product until you place your order. If a product is listed at an incorrect price or with incorrect information due to any technical or typographical error, we reserve the right, at our sole discretion, to refuse or cancel any orders placed for that product, unless the product has already been delivered to you.

In the event of an incorrect price, we may either contact you for further instructions or cancel your order and notify you of such cancellation. If your order is accepted, the price will be debited to your chosen payment method and you will be notified once the payment is processed. If we cancel an order after payment has been processed, the amount will be refunded to your original payment method.

Prices and availability of products and services on the Platform are subject to change at any time without prior notice, at our sole discretion. If a product is unavailable or cannot be delivered within the expected timeline, you will be notified by email, and your order may be cancelled automatically or at your instructions. We will not be liable for any damages or losses arising from such cancellation or delay in delivery.

5.Orders, acceptance & payment

Your order constitutes an offer to buy. We may accept or decline your order at our sole discretion, including in cases of pricing or stock errors, payment issues, or risk flags. An order shall be deemed confirmed only after we (or the relevant Seller) acknowledge acceptance of the order and you receive an email or SMS confirmation with details such as the order ID, product information, and estimated delivery time. Payment for the products must be made using the payment methods made available on the Platform. Payment is processed by third-party payment gateways. By submitting your payment details, you authorize us (or the relevant payment partner) to charge the full order amount, including applicable taxes, shipping charges, and duties (if applicable).

6.Shipping, risk of loss & delivery

We deliver across India to the shipping address provided by you at the time of placing the order, subject to serviceability of the pin code by our logistics partners. Delivery timelines displayed on the Platform are indicative and may vary depending on product availability, shipping location, and other factors. While we make reasonable efforts to ensure timely delivery, delays may occur due to unforeseen circumstances beyond our control, including but not limited to force majeure events, strikes, weather conditions, or regulatory restrictions. 

You are responsible for providing accurate and complete shipping details. We shall not be liable for non-delivery, mis-delivery, or delays arising from inaccurate, incomplete, or outdated information provided by you. In the event of failed delivery due to your unavailability or refusal to accept the product, our logistics partner may attempt re-delivery. If re-delivery is not possible, your order may be cancelled in accordance with Clause 7, and you may be liable for applicable shipping or handling charges. 

Risk of loss passes to you on delivery confirmation as per the records of our logistics partner. While we ensure timely fulfillment, delays may occur due to unforeseen circumstances.

Delivery may be carried out either directly by the seller or through third-party logistics service providers engaged on their behalf. Except as required under applicable law, we shall not be liable for any delay, loss, or damage once the products have been handed over to such logistics service providers.

At the time of delivery, you are requested to inspect the package for any tampering or damage. In case of any issues, you must notify us or our logistics partner immediately and raise a return or replacement request in accordance with Clause 7.

7.Returns, exchanges & refunds

Returns: All items purchased during a sale, promotion, or at a discounted price are final sale and cannot be returned or exchanged under any circumstances except as provided herein below. Returns are accepted as per our Returns & Refund Policy, subject to the following conditions:

1. Returns are eligible only if the Buyer has purchased Seel Return Assurance at the time of checkout. his optional service enables customers to return eligible items and receive a refund in accordance with the terms of the Seel Return Assurance policy. If Return Assurance has not been purchased, the order will not be eligible for return or refund.

2. Returns for full-priced items (where Seel Return Assurance has been purchased) will be accepted only if all of the following conditions are met:

1. The return is initiated, and the item(s) are shipped back by the customer within 7 days from the date of delivery;

2. The item(s) are unused, unworn, unwashed, and in their original condition, with all tags, labels, and packaging intact; and

3. The item(s) are returned to the address specified by the Seller or Garmentory India’s designated return center, as communicated during the return process.

3. Certain product categories, including but not limited to intimate wear, made-to-order, or customized products, are not eligible for return.

(Important: Because duties/taxes are already included, refunds cover the entire purchase amount without deductions, unless return shipping costs apply.)

Refunds: Upon receipt, all returned items will be inspected to verify compliance with the above conditions. Refunds will be processed only after successful quality verification. Garmentory India reserves the right to reject returns that do not meet the stated requirements. Once approved, refunds will be credited to the original payment method in INR (Indian Rupees). Where applicable, return shipping costs may be deducted from the refund amount.

Exchanges: We currently do not offer exchanges. The Buyer wishing to replace an item may initiate a return (if eligible) and place a new order separately.

8.Authenticity & warranties

All items available and sold on this Platform are sourced directly from verified boutiques/designers and other authorized Sellers. . We take reasonable measures to verify the authenticity of products listed on the Platform and to ensure that they are supplied by trusted Sellers. In the unlikely event of any authenticity-related concern, we will work with both the customer and the Seller to resolve the issue, which may include providing an appropriate refund. Manufacturer warranties (if any) apply to the product, and you may contact the manufacturer/ Seller directly for any warranty claims. Unless explicitly stated otherwise, Garmentory India does not provide additional warranties beyond those offered by the manufacturer or the Seller.

9.Promotions, credits & gift cards

Promo codes, credits, and gift cards are single-use unless stated, non-transferable, and may be limited by date, category, or minimum spend. We may cancel benefits for misuse, fraud, or error.

10.Use of this website

The website design and all text, graphics, information, content, and other material displayed on or that can be downloaded from this website are either the property of, or used with permission by, Garmentory India and are protected by copyright, trademark and other laws and treaties and may not be used except as permitted in these Terms and Conditions or with the prior written permission of the owner of such material. You may not modify the information or materials located on this website in any way or reproduce or publicly display, perform, or distribute or otherwise use any such materials for any public or commercial purpose. Any unauthorized use of any such information or materials may violate copyright laws, trademark laws, laws of privacy and publicity, and other laws and regulations. You may not run or display this website or any material displayed on this website in frames or through similar means without our prior written permission.

You shall not upload to, distribute, or otherwise publish through the website any content, information or other material (a) that violates, misappropriates or infringes the copyrights, patents, trademarks, service marks, trade secrets, or other proprietary rights of any person or entity; (b) that is libelous, threatening, defamatory, obscene, indecent, pornographic, or could give rise to any civil or criminal liability under applicable law; (c) that includes any bugs, viruses, worms, trap doors, Trojan horses or other harmful code or properties; (d) that could disable, overburden, damage, or impair the website or interfere with any other party’s use of the website, including their ability to engage in real time activities through the website; (e) such as a robot, spider or other automatic device, process or means to access the website for any purpose, including to monitor or copy any of the material on the website; and (f) that otherwise attempts to interfere with the proper working of the website. We will have no liability related to the content of any of the foregoing materials, whether or not arising under the laws of copyright, libel, privacy, obscenity, or otherwise. We will fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity of anyone posting such materials.

11. Account Information

You are responsible for maintaining the confidentiality of your account information, including your password and for restricting access to such information and to your computer. You agree to immediately notify us of any unauthorized use of your account, password or any breach of security and accept responsibility for all activities and purchases that occur under your account or password, whether authorized by you or not. You must keep your account information up-to-date and accurate at all times, including your valid email address, mobile number and payment information. 

We may also take measures to protect your account, including requesting a password change or temporarily suspending access if we suspect misuse, fraudulent activity, or security risks. We shall not be liable for any loss or damage resulting from your failure to comply with these obligations.

12.Intellectual Property Rights

All content on garmentory.co, including text, images, logos, trademarks, graphics, audio/video, code, and the curation/ or edit concept, is owned by us, our licensors, or Sellers and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, revocable, non-transferable, and non-exclusive license to access and use the Platform solely for personal, non-commercial purposes. Any other use, including copying, reproducing, publishing, distributing, modifying, selling, licensing, or otherwise exploiting any content on the Platform, is strictly prohibited without our prior written consent.

All product images, brand names, logos, and marks remain the property of their respective owners. These are used under license, with permission, or under applicable fair use solely for identification and sale of products. Accessing the Platform does not grant you any rights or ownership in such marks or content.

Nothing in this clause limits our right to enforce our intellectual property rights or to take legal action against any unauthorized use of the content or marks.

13.Trademarks

Garmentory India has applied for registration of its trademarks under the Trade and Merchandise Act and Rules under different classes and awaiting registration. Any unauthorized use, imitation, or violation of our trademarks will be liable for legal action under applicable laws.

Certain trademarks, trade names, service marks and logos (collectively, “Marks”) used or displayed on this Platform are the exclusive property of Garmentory India and/or our affiliates. Other Marks used or displayed on this Platform are the property of their respective owners. Nothing contained on this Platform grants or should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Marks without our written permission or the written permission of such third-party owner. Unauthorized use of any Marks is strictly prohibited.

14. Copyright

All content included on this Platform, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software is the property of Garmentory India or its suppliers. The compilation of all content on this site is the exclusive property of Garmentory India.

15. Reviews & user content

If you submit reviews, photos, or other content, you grant us a worldwide, royalty-free license to use, reproduce, publish, translate, adapt, and display that content in connection with our services and marketing (with attribution policies as applicable). You represent that you have the rights to the content and that it doesn’t infringe third-party rights or laws.

16. Third-party links & services

The Platform may contain links to third-party websites, applications, or services (“Third-Party Services”). These Third-Party Services are provided for your convenience only. Garmentory India does not endorse and is not responsible for the availability, content, advertising, products, services, or other materials on or available from such Third-Party Services.

Your access to and use of Third-Party Services will be governed by the terms of use and privacy policies of such third parties. Garmentory India shall not be liable for any loss, damage, or harm arising from your use of or reliance on Third-Party Services.

17. Disclaimer of warranties

This Platform (https://garmentory.co/) is provided by Garmentory India on an “as is”, “as available” and “where is” basis. While we make reasonable efforts to maintain the accuracy and availability of the Platform, Garmentory India makes no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, content, materials, or products included. You expressly agree that your use of this site is at your sole risk.

To the maximum extent permitted by applicable law, Garmentory India disclaims all express and implied warranties, including, but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, completeness, timeliness, performance, and safety, in respect of the Platform, communications from Garmentory India, our services, and the products displayed.

Whilst we try and ensure that the site and communications from Garmentory India are free of errors, viruses, malware or other harmful components, Garmentory India does not warrant that the site https://garmentory.co/, its servers, or e-mail communications sent from Garmentory India are free of viruses, malware or other harmful components.

To the full extent permissible by applicable law, Garmentory India, its suppliers, owners, employees or directors assume no liability or responsibility for: (I) any errors, mistakes, or inaccuracies of content displayed on the site https://garmentory.co/; (ii) any personal injury or property damage, of any nature whatsoever, resulting from your access to or use of the site or any product purchased / procured from Garmentory Retail Private Limited, its suppliers or the site https://garmentory.co/; (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein; (iv) any interruption or cessation of transmission to or from the site https://garmentory.co/; and/or (v) any viruses, malware or other harmful component or the like that may be transmitted to or through the site https://garmentory.co/ or communication from us or any third party.

Garmentory India, its suppliers, owners, employees or directors will not be liable for any damages of any kind arising from the use of this site or services, including, but not limited to direct, indirect, incidental, punitive, and consequential damages.

Garmentory India reserves the right to modify, update, correct any errors, inaccuracies, or omissions with respect to the site https://garmentory.co/ and to modify or update these Conditions and our policies at any time without prior notice.

We reserve, at our discretion, the right to refuse to fulfil any order, including (without limitation) those orders that may have been placed based on erroneous, inaccurate or out-of-date information on the site; or would result in a breach of applicable laws.

Notwithstanding anything to the contrary contained in these Terms & Conditions, under no circumstances will the liability of Garmentory India to a customer under law, contract or otherwise,  in relation to a purchase, exceed 100% of the total value of goods purchased by such customer.

18. Limitation of liability

We assume no responsibility, and shall not be liable for, any damages to your computer, telecommunication equipment, or other property caused by or arising from your access to, use of, or browsing this Platform or your downloading of any materials, from this Platform. 

In no event will Garmentory India, its officers, directors, employees, members, affiliates, agents, successors, assigns or any party involved in the creation, production or transmission of this Platform be liable to you or any third party for any direct, indirect, special, punitive, incidental or consequential damages (including, without limitation, those resulting from lost profits, lost data or business interruption) arising out of or related to the use, inability to use, or the results of use of this Platform, any websites linked to this Platform, or the materials, products, information or services contained at any or all such Platform, whether based on warranty, contract, tort or any other legal theory and whether or not we have been advised of the possibility of such damages of if the exclusive remedies stated herein fail of their essential purpose. 

Our total aggregate liability to you with respect to this Platform and any materials, products or services purchased, provided or made accessible through, it shall be limited to the amount you paid to us for purchases on this Platform during the 6 months prior to the action giving rise to the liability, damage, claim or loss.

19. Indemnity

You agree to indemnify, defend and hold us harmless Garmentory India, its directors, officers, employees, agents, affiliates, partners, and licensors from and against any and all claims, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your misuse of the Platform, breach of these Terms & Conditions, or violation of law or third-party rights.

20. Suspension/termination

We may suspend or terminate your account or your use of this Platform at any time, for any reason (for suspected fraud, abuse, non-payment, rights, violations, or policy breaches and others) or for no reason. We reserve the right to change, suspend, or discontinue all or any aspect of this Platform at any time without notice.

21. Severability

If any provision of these Terms & Conditions or policies shall be deemed invalid, void, or for any reason unenforceable, such provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provision of these Terms & Conditions or policies.

22. Governing law & disputes

These Terms & Conditions are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka. 

23. Changes to Terms

We may update these Terms & Conditions periodically; the latest version will be posted with an updated effective date. Continued use after changes means you accept the new Terms & Conditions.
